2010 Convention Documents

Constitutional amendments require the Circles be sent notice of the proposed amendments at least 30 days in advance of the Convention. These proposed changes will be voted on during the business sessions of the 2010 Convention. Please read the summary for each document, and then download and thoroughly review each document.

The National Constitution and ByLaws

At the Omicron Delta Kappa Society’s 2008 Atlanta Convention, the Committee on Policy and Law reported to the Convention’s Second Plenary Session, that the Society’s Constitution and Bylaws should be reviewed and revised to remove outdated material and “clean up” those documents. This was largely due to (1) certain provisions that appear to have been a result of the time when they were adopted (e.g. multi-tiered, unusual quorum requirements which each convention in recent memory has had to waive) and (2) the apparent patchwork of amendments over the years resulting in the Society’s current convoluted governing documents.

The general approach in the revision has been to retain the Society’s current structure, while cleaning up the documents to improve consistency, providing clarification and additional detail in certain areas, creating a more logical order of the provisions and moving some provisions from the Constitution to the Bylaws and vice versa. Moreover, some substantive changes were made to match the realities of current practice by the Society in conducting its affairs or where otherwise suggested. The most significant substantive changes are summarized in the document below.

1. Summary of General Revisions to the National Constitution and Bylaws
2. National Constitution Proposed for Adoption by 2010 National Convention

The ODK National Advisory Council

The Board of Directors of the Society is proposing the establishment of the ODK National Advisory Council (ODK NAC), a group composed of dedicated members of the Society that represent key constituencies and can advise the Board of Directors on matters related to the Society’s well‐being. The ODK NAC would succeed the current Council of Regional Directors/Regional Director framework.

The Society wishes to adopt a system that will continue to tap into volunteer leadership, expertise and passion. With the Board of Directors recently adopting a Strategic Plan, supporting a move of the National Headquarters to Lexington, VA and planning activities/programs leading up to the Society’s centennial celebration, recasting the Council of Regional Directors enables the society to optimize volunteers’ roles more fully.

4. Constitutional Amendment Establishing the National Advisory Council

Suspension of the 2012 National Convention

The Board of Directors proposes adding a new section to Article VI related to the suspension of 2012 National Convention and an alternative process for electing Directors and National Officers in the absence of the convention. Given the upcoming Centennial, it is in the best interests for the Society to focus its limited resources on the many Centennial-related events and gatherings to occur throughout 2013-2014. In the absence of a National Convention, we must have an alternative system for electing Officers/ Directors.
